We reserve the right to restrict or terminate access where we reasonably believe these Terms have been violated.

3. Project and Software Development Services

w3Script may provide software development and technology services under separate proposals, statements of work, contracts, invoices, or other written agreements.

For client projects, the specific agreement may define:

  • Project scope
  • Deliverables
  • Features and functionality
  • Development milestones
  • Project timeline
  • Fees and payment terms
  • Client responsibilities
  • Hosting and infrastructure responsibilities
  • Maintenance and support
  • Intellectual property ownership
  • Warranty or bug-fix periods
  • Change-request procedures

If a written project agreement conflicts with these general Terms, the specific written agreement will control for that project to the extent permitted by applicable law.

4. Project Scope and Changes

Projects are developed according to the agreed scope.

Requests that materially change the agreed scope, functionality, design, integrations, infrastructure, or requirements may be treated as additional work and may require additional fees or timeline adjustments.

We will make reasonable efforts to communicate significant changes before performing additional billable work.

5. Client Responsibilities

Clients are responsible for providing accurate and timely information, materials, credentials, approvals, content, and other resources reasonably required to complete a project.

Delays caused by missing information, delayed approvals, unavailable third-party services, or other matters outside w3Script's reasonable control may affect project timelines.

Clients must ensure that any content, data, images, software, trademarks, documents, or other materials they provide to w3Script may legally be used for the project.

6. Payments and Fees

Fees, payment schedules, deposits, recurring charges, and other financial terms will be specified in the applicable proposal, agreement, invoice, or subscription plan.

Unless otherwise agreed in writing:

  • Payments are due according to the applicable invoice or agreement.
  • Work may be paused when required payments are overdue.
  • Additional work outside the agreed scope may incur additional fees.
  • Third-party services, licenses, domains, hosting, APIs, payment gateways, and other external costs may be charged separately where applicable.

7. SaaS and Software Products

w3Script may provide software products and SaaS services under separate product-specific terms, subscription plans, or agreements.

Product-specific terms may govern:

  • Account registration
  • Subscription plans
  • User permissions
  • Usage limits
  • Billing
  • Renewals
  • Cancellation
  • Data handling
  • Product availability
  • Support
  • Acceptable use

If product-specific terms apply, they supplement these Terms.

8. Accounts and Security

Where an account is required, you are responsible for:

  • Providing accurate registration information, including a valid email address that you control
  • Keeping login credentials confidential
  • Maintaining the security of your account
  • Not sharing access with unauthorized persons
  • Promptly notifying us of suspected unauthorized access

You are responsible for activity performed through your account unless caused by circumstances outside your reasonable control.

We may suspend or restrict accounts where necessary to protect our systems, users, services, or legitimate business interests.

9. Electronic Communications

When you submit a form on our website, create an account, or use our services, you agree that we may send you transactional and service-related emails, such as request confirmations, account verification, password resets, security notices, invoices, and receipts. These messages are part of providing the service.

We send newsletters and marketing emails only to people who have opted in. You can unsubscribe at any time using the link included in every marketing email or by contacting us.

Our email practices are described in more detail in our Privacy Policy.

10. Intellectual Property

Unless otherwise agreed in writing, w3Script and its licensors retain ownership of:

  • w3Script trademarks and branding
  • w3Script website content

  • Pre-existing software and frameworks
  • Reusable libraries and components
  • Development methodologies
  • Templates and general-purpose technology
  • w3Script-owned SaaS products
  • Other materials owned by w3Script before a client engagement

Ownership of custom project deliverables will be determined by the applicable client agreement.

A client does not automatically receive ownership of w3Script's pre-existing tools, frameworks, reusable components, libraries, or proprietary technology merely because those technologies are used in a project.

11. Client Content

You retain ownership of content, information, data, trademarks, documents, and other materials that you provide to w3Script, except where otherwise agreed.

You grant w3Script the limited rights reasonably necessary to use such materials to provide the contracted services.

You represent that you have the necessary rights and permissions to provide those materials to us.

We may suspend or terminate services where we reasonably believe they are being used in violation of these requirements.

15. Confidentiality

Where w3Script and a client exchange confidential business, technical, financial, or other non-public information, each party should take reasonable measures to protect that information.

Specific confidentiality obligations may be established through a separate confidentiality agreement, NDA, contract, or statement of work.

16. Privacy

Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms.

17. Warranties and Disclaimers

To the maximum extent permitted by applicable law, our website and general information are provided on an "as is" and "as available" basis.

Except where expressly stated in a written agreement, w3Script does not guarantee that:

  • The website or services will meet every specific requirement
  • Software will operate without interruption or errors
  • Third-party services will remain available
  • A project will achieve a particular commercial result
  • Software will be completely free from security vulnerabilities

Any specific warranties, service levels, or support commitments will be governed by the applicable written agreement.

18. Limitation of Liability

To the maximum extent permitted by applicable law, w3Script will not be responsible for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data arising from the use of our website or services.

Where liability cannot legally be excluded, our liability will be limited to the extent permitted by applicable law.

For paid services, any additional liability limitations may be established in the applicable client agreement.

19. Indemnification

To the extent permitted by applicable law, you agree to defend and hold w3Script harmless from claims, losses, liabilities, damages, and reasonable expenses arising from:

  • Your unlawful use of our services
  • Your violation of these Terms
  • Your violation of another person's rights
  • Content or materials you provide to us
  • Unauthorized use of your account caused by your failure to maintain account security

This section does not apply to the extent a claim is caused by w3Script's own unlawful conduct or obligations that cannot legally be transferred.

  • These Terms are violated
  • Payment obligations are not met
  • Security or abuse concerns arise
  • The service is being used for unlawful purposes

  • Continuing to provide the service creates a material security or operational risk

Where appropriate, we will provide reasonable notice or an opportunity to resolve the issue.

Termination of a service may be subject to the terms of the applicable project or subscription agreement.

21. Force Majeure

w3Script will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, internet or infrastructure failures, government actions, war, civil unrest, widespread cyber incidents, labor disruptions, power failures, or failures of third-party providers.

22. Changes to These Terms

We may update these Terms from time to time to reflect changes to our services, products, legal requirements, or business practices.

The updated version will be published on this page with a revised "Last Updated" date.

Your continued use of our website or services after an update becomes effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

23. Governing Law
